[Expert] xterm opening: Resources temporarily unavailable

Hi,
I know this is not a mandrake problem...but appeared
after mandrake upgrade.
I can no longer open xterm from my exceed (X server
application) session (running on winXP) after
upgrading my mdk server from 10.0 to 2006.0
executing xterm hangs for a while...then dies out.
Stracing it, shows dozens of error as below. 
It is not an xterm problem because i can open an xterm
OK from a linux desktop. Any clues on what might be
causing this? No errors on mdk side whatsover...
